These Terms and Conditions of Use (“Terms”), read together with the Privacy Policy, constitute a legally binding agreement (“Agreement”) between You (“User”, “You”, “Your”) and Nuzio Labs Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at Flat No. 74-D, B-4, IIIrd Floor Keshav Puram, Keshav Puram (North West Delhi), North West Delhi, Delhi, Delhi, India, 110035, CIN U62099DC2026PTC472094 (“Nuzio”, “Company”, “We”, “Us”, “Our”), in relation to Your access to and use of the website nuzioai.com, the Nuzio mobile application, and all related AI-powered personalized audio news services (collectively, the “Platform”). Questions regarding these Terms or the Privacy Policy may be directed to support@nuzioai.com.

A. Definitions and Interpretation

“Platform” means the Nuzio website, mobile application, and any associated APIs, browser extensions, or connected devices through which the Service is delivered, including all updates. “Service” means the aggregation of news and informational content from third-party and licensed sources, its summarization and personalization using artificial intelligence and machine learning systems (“AI Systems”), and its conversion into audio for delivery as personalized audio briefings. “Content” means all text, audio, summaries, briefings, graphics, and other material made available through the Platform. “AI Generated Output” means summaries, briefings, narration, or other material produced wholly or partly through automated processing by Our AI Systems. “Subscription” means any paid plan offered on the Platform. “App” means the Nuzio AI mobile application, owned by Nuzio Labs Private Limited. “Sponsored Content” means content distinct from regular editorial content that supports a third party's brand message, identifiable through words such as “Ad”, “Sponsored by”, or “Advertorial”.

B. Your Acceptance

By downloading, installing, accessing, registering on, or otherwise using the Platform, You accept and agree to be bound by this Agreement. You may accept this Agreement only if You are a natural person of legal age and sound mind under applicable law, or a duly authorised representative of a juristic person. The Platform is not directed at, and We do not knowingly permit use by, individuals below eighteen years of age. We reserve the right to modify this Agreement at any time by posting updated Terms on the Platform; continued use after such modification constitutes acceptance of the revised Terms.

C. Description of the Service

The Platform aggregates news and informational content from multiple third-party sources under licence or as otherwise permitted by law, applies Our AI Systems to summarise and personalize such content based on Your stated interests, profession, language preference and listening history, and converts the resulting summaries into audio using text-to-speech or licensed voice technology. Nuzio does not create the underlying news content and is not the original publisher of the source material; Nuzio acts as an intermediary that summarises, personalizes, and narrates content sourced from third parties. We may modify, enhance, suspend, or discontinue any feature of the Platform at Our sole discretion, with reasonable efforts to notify active Subscribers of changes that materially reduce paid features.

D. AI Generated Content, Accuracy, and Limitations

• AI Generated Output is provided for general informational and convenience purposes only and does not constitute professional advice of any kind, including financial, legal, medical, or investment advice.
• Nuzio does not guarantee the completeness, accuracy, timeliness, or reliability of any AI Generated Output and disclaims liability for decisions made in reliance on it, to the fullest extent permitted by law.
• Where a briefing summarises a developing news story, the underlying facts may change after generation; You are encouraged to consult the original source, linked where available, before relying on the summary for any material decision.
• Nuzio may use Your feedback, corrections, or flagged errors to improve its AI Systems, and by submitting such feedback You grant Nuzio a non-exclusive, royalty-free, worldwide licence to use it for that purpose.

E. Using the Platform

Subject to Your compliance with this Agreement, Nuzio grants You a limited, non-exclusive, non-transferable, revocable licence to install and use the Platform on Your personal device solely for Your own personal, non-commercial use. Any account You create must be supported by true, accurate, and current information; You are responsible for maintaining the confidentiality of Your login credentials and all activity under Your account, and must notify Us promptly at support@nuzioai.com of any unauthorised use. Access to certain Content, voices, or personalization features may be reserved for paid Subscribers. All Subscriptions are strictly non-refundable unless explicitly mandated by applicable law. You may cancel Your Subscription at any time through Your account settings, effective at the end of the current billing cycle.

F. Restrictions on Use

You agree that You will not, and will not permit any third party to:

• Use the Platform for any unlawful purpose or in violation of any applicable law, including the Information Technology Act, 2000 and rules made thereunder.
• Upload, transmit, or share content through any feedback, comment, or account feature that is defamatory, obscene, harassing, threatening, infringing, or otherwise unlawful, or harmful to a child.
• Reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code, underlying models, prompts, or training methodology of Our AI Systems, except where prohibited by applicable law.
• Use automated means, including bots, scrapers, or crawlers, to access, extract, or reproduce Content or AI Generated Output without Our prior written consent.
• Use the Platform, its Content, or AI Generated Output to train, fine-tune, or benchmark any competing artificial intelligence model or news product.
• Circumvent, disable, or interfere with security features, rate limits, or access controls of the Platform, or introduce viruses, malware, or other harmful code.
• Impersonate any person or entity, or misrepresent Your affiliation with Nuzio or any content source.
• Redistribute, resell, sublicense, publicly perform, or make available any Content or AI Generated Output outside the Platform without Our prior written consent, except for personal, non-commercial sharing expressly permitted by an in-app share feature.

G. Third Party Content and Links

The Platform summarises and links to content originally published by third parties, provided for reference and convenience only. Nuzio does not control, endorse, or assume responsibility for the content, accuracy, or practices of any third-party website, publisher, or application; accessing a linked source means You are leaving the Platform and are subject to that third party's own terms and privacy practices.

H. Grievance Redressal and Content Reporting

In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, Nuzio has appointed a Grievance Officer to address complaints regarding the Platform.

Complaints regarding inaccurate AI Generated Output, unlawful content, or violations of this Agreement may be submitted to the Grievance Officer with sufficient detail to identify the content in question. We will acknowledge receipt within twenty four hours and endeavour to resolve the complaint within fifteen days, or within the timelines prescribed under applicable law, whichever is shorter.

I. Intellectual Property

The Platform, including its software, AI Systems, personalization models, voice technology, user interface, trademarks, and the Nuzio name and logo, is the exclusive property of Nuzio or its licensors and is protected under applicable intellectual property laws. Nuzio owns the compilation, summarisation, and audio narration it creates from third-party source content, but does not claim ownership of the underlying third-party source material, which remains the property of its respective publishers. Nothing in this Agreement transfers any intellectual property rights in the Platform to You, other than the limited licence expressly granted in Section E.

J. Privacy

Our collection, use, and disclosure of Personal Information is governed by Our Privacy Policy, which forms part of this Agreement. By using the Platform, You consent to the collection and processing of Your information as described there.

K. Termination

You may stop using the Platform and delete Your account at any time. We may suspend or terminate Your access to the Platform, with or without notice, if You breach this Agreement, if required by law, if Your Subscription payment fails and is not cured, or if We discontinue the Platform or a relevant feature. Provisions of this Agreement that by their nature should survive termination, including Sections D, F, I, L, M, and N, will survive.

L. Limitation of Liability and Indemnification

To the maximum extent permitted by applicable law, use of the Platform is at Your own risk, and Nuzio, its directors, officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or goodwill, arising from or relating to Your use of the Platform, reliance on AI Generated Output, or any third-party source content, even if advised of the possibility of such damages. Nuzio's aggregate liability arising out of or relating to this Agreement will not exceed the amount, if any, paid by You to Nuzio for the Subscription giving rise to the claim in the twelve months preceding the claim.

You agree to indemnify and hold harmless Nuzio, its directors, officers, employees, and agents from any claims, damages, liabilities, and reasonable legal costs arising from Your breach of this Agreement, Your misuse of the Platform, Your violation of applicable law, or any third-party claim arising from Your use of the Platform to create, distribute, or share infringing or unlawful material.

M. Disclaimer of Warranties

The Platform and all Content and AI Generated Output are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Nuzio disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted or error-free operation. Nuzio does not warrant that the Platform will be free of bugs, viruses, or other harmful components, or that any AI Generated Output will be accurate or complete.

N. Governing Law and Dispute Resolution

This Agreement is governed by the laws of India. Any dispute arising out of or in connection with this Agreement will first be addressed through good faith negotiation between the parties. If unresolved within thirty days, the dispute will be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, conducted by a sole arbitrator mutually appointed by the parties, seated at New Delhi, in the English language. The courts at New Delhi will have exclusive jurisdiction over matters not subject to arbitration, including applications for interim relief.

O. Miscellaneous

If any provision of this Agreement is held unenforceable, the remaining provisions will continue in full force, and the unenforceable provision will be replaced by a valid provision that most closely reflects the original intent. Nuzio's failure to enforce any provision does not waive its right to do so later. This Agreement, together with the Privacy Policy, Subscription Terms, and Payment Terms, constitutes the entire agreement between You and Nuzio regarding the Platform.

Force Majeure. Nuzio shall not be liable for any failure or delay in performance under this Agreement due to circumstances beyond its reasonable control, including acts of God, natural disasters, telecommunications failures, server outages, artificial intelligence model downtimes, or governmental actions.
